1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of Picnic — our website, mobile applications, and related services (together, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, please don't use Picnic.

Picnic is operated by Twenty Mountains Ltd, a company registered in England and Wales under company number 13022758, with its registered office at 20-22 Wenlock Road, London, England, N1 7GU ("Picnic", "we", "us", or "our").

2. About Picnic

Picnic is a private space for families and friends to share photos, videos, and updates with the specific people they choose — organised into "circles". Content shared in a circle is visible only to that circle's members, never to the public or to other Picnic users outside it.

3. Eligibility

You must be at least 16 years old to create a Picnic account. Picnic is not directed at children, and we do not knowingly allow anyone under 16 to hold an account. If you're a parent or guardian and want to include a child's photos or milestones on Picnic, you may do so through your own account — you're responsible for anything you post on behalf of a child in your care.

By using Picnic, you confirm that you meet this age requirement and that any information you give us is accurate.

4. Your Account

You're responsible for maintaining the security of your account and for all activity that happens under it. Let us know right away at hello@viapicnic.com if you suspect unauthorised access.

Sign-up is currently invite-only: you can join Picnic by accepting an invite link shared with you by an existing member. Each invite link is single-use — once it's been used to create an account, it can't be used again.

5. Invites, Circles & Seats

Creating circles, viewing shared content, and contributing to circles you belong to is free for everyone. What a paid subscription buys is seats — the ability to invite additional people into your circles. If you invite someone, you're responsible for making sure they're comfortable being added and for the content that ends up shared with them.

Revoking an invite or removing someone from a circle doesn't affect the content already shared with the wider circle up to that point.

6. Subscriptions, Seats & Billing

Some features of Picnic — specifically, the ability to invite people beyond your plan's free capacity — require a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly, unless stated otherwise) and, depending on the platform you're using, are processed by Stripe, Apple's App Store, or Google Play. We never see or store your full card details ourselves.

Subscriptions renew automatically until cancelled. You can cancel at any time; access continues until the end of the current billing period. If you cancel or a payment fails and isn't resolved, circles you administer become read-only after a short grace period, and are fully archived — with other members removed — if the situation isn't resolved within 90 days. Your existing content isn't deleted during this process; it's simply hidden until you resubscribe.

Prices are shown in the currency displayed at checkout and may change from time to time; we'll give you reasonable notice before any change takes effect for your existing subscription. Except where required by law or stated otherwise, payments are non-refundable.

7. Your Content

You own the photos, videos, and other content you upload to Picnic ("Your Content"). We don't claim ownership over it. By uploading content, you grant Picnic a limited licence to store, back up, process, and display it solely for the purpose of operating the Service and only to the people you've chosen to share it with — we don't use Your Content for advertising, and we don't sell it.

You're responsible for making sure you have the right to share anything you upload, and that doing so doesn't infringe anyone else's rights or break the law.

8. Acceptable Use

When using Picnic, you agree not to:

• Upload content that's illegal, abusive, harassing, or infringes someone else's rights;
• Use Picnic to share content involving anyone who hasn't consented to being included;
• Attempt to access another user's account or circle without permission;
• Reverse-engineer, scrape, or interfere with the Service or its infrastructure; or
• Use Picnic for any commercial or public-broadcast purpose it isn't designed for.

We may suspend or remove content or accounts that break these rules.

9. Third-Party Services

Picnic relies on trusted providers to operate — including authentication, payment processing, email delivery, and cloud hosting/storage. These providers only receive the data they need to perform their function on our behalf. See our Privacy Policy for details.

10. Suspension & Termination

You can stop using Picnic and close your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms, if we're required to by law, or if we discontinue the Service — in which case we'll give you reasonable notice and an opportunity to export or download Your Content where practical.

11. Disclaimers

Picnic is provided "as is" and "as available". While we work hard to keep it reliable and your content safe, we don't guarantee the Service will be uninterrupted, error-free, or available at all times, and we recommend keeping your own backups of anything irreplaceable.

12. Limitation of Liability

To the fullest extent permitted by law, Picnic and its team won't be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Nothing in these Terms limits any liability that can't legally be limited or excluded, such as liability for fraud or for death or personal injury caused by negligence.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll let you know — for example, by email or an in-app notice — before they take effect. Continuing to use Picnic after changes take effect means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory local consumer-protection law gives you the right to bring a claim elsewhere.
